5. User Obligations and Conduct

• Interfere with or disrupt the operation of our Services

• The content does not contain illegal, defamatory, or offensive material

You grant StartupMandi a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display your content solely for the purpose of providing our Services.

5.3 Prohibited Activities

You must not use our Services to:

• Promote illegal activities or products

• Engage in money laundering or terrorist financing

• Violate securities laws or regulations

• Misrepresent your business, financial status, or credentials

• Solicit or collect personal information from other users without consent

6. Fees, Payments, and Refunds

6.1 Service Fees

Certain Services require payment of fees. All fees are displayed on our website and are subject to change with prior notice. By purchasing our Services, you agree to pay all applicable fees.

• Digital wallets (Paytm, PhonePe, Google Pay)

6.2 Subscription Plans

We offer subscription-based plans with recurring billing:

• Basic Plan: ₹999/month

• Premium Plan: ₹2,999/month

• Enterprise Plan: ₹9,999/month

Subscriptions automatically renew unless canceled before the renewal date. You can cancel your subscription at any time through your account settings.

6.3 Payment Processing

Payments are processed through secure third-party payment gateways (Razorpay, Stripe). We do not store your complete payment card information. By making a payment, you authorize us to charge your chosen payment method.

6.4 Taxes

All fees are exclusive of applicable taxes (GST, etc.). You are responsible for paying all taxes associated with your use of our Services.

6.5 Refund Policy

• Service Fees: Refunds are provided only in cases where services are not delivered as promised or technical errors prevent service delivery. Refund requests must be submitted within 7 days of purchase.

• Subscription Plans: No refunds for partial subscription periods. Cancellations take effect at the end of the current billing cycle.

• Equity-Based Services: Non-refundable once incubation or equity agreements are executed.

Refund requests must be submitted to ceo@startupmandi.in. All refund decisions are at our sole discretion.

7. Intellectual Property Rights

7.1 Ownership

All content, features, functionality, software, designs, logos, trademarks, and other materials on our platform are owned by StartupMandi or our licensors and are protected by copyright, trademark, and other intellectual property laws.

7.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for personal or business purposes.

You may not:

• Copy, modify, distribute, or create derivative works from our content

Our incubation program may involve equity-based arrangements where StartupMandi receives equity (typically 2-5%) in participating startups in exchange for services, mentorship, and support.

By enrolling in our incubation program, you acknowledge and agree that:

• Equity terms will be documented in separate, legally binding agreements

• Equity grants are subject to vesting schedules and performance milestones

• Startups must provide accurate financial and business information

• Failure to comply with program requirements may result in termination

9.2 Incubation Terms

Incubation services are provided on a best-effort basis. While we strive to support your success, we do not guarantee funding, revenue, or business outcomes. You are solely responsible for your business decisions and operations.

10. Disclaimers and Limitations of Liability

10.1 No Warranties

OUR SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

We do not warrant that:

• Our Services will be uninterrupted, secure, or error-free

• Defects or errors will be corrected

• Our platform is free from viruses or harmful components

• Results obtained from our Services will be accurate or reliable

10.2 No Guarantee of Funding or Success

We do not guarantee that you will secure funding, grants, or business success by using our Services. All business decisions and outcomes are your sole responsibility.

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STARTUPMANDI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, REVENUE, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO YOUR USE OF OUR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ₹10,000, WHICHEVER IS LOWER.

You agree to indemnify, defend, and hold harmless StartupMandi and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising from:

• Content you submit to our platform

11. Term and Termination

11.1 Term

These Terms remain in effect while you use our Services or maintain an account with us.

11.2 Termination by You

You may terminate your account at any time by contacting us at ceo@startupmandi.in or through your account settings. Upon termination, you will lose access to your account and data.

11.3 Termination by Us

We reserve the right to suspend or terminate your account and access to our Services at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms

• Fraudulent, illegal, or abusive behavior

• Non-payment of fees

• Inactivity for an extended period

• Suspected security risks

11.4 Effect of Termination

Upon termination:

• Your right to use our Services will immediately cease

• We may delete or retain your data as per our Privacy Policy and legal obligations

• You remain liable for any outstanding fees or obligations

• Provisions of these Terms that by their nature should survive (disclaimers, indemnification, dispute resolution) will continue to apply

12. Dispute Resolution and Governing Law

12.1 Governing Law

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

12.2 Jurisdiction

Any disputes arising from or related to these Terms or your use of our Services shall be subject to the exclusive jurisdiction of the courts located in West Bengal, India.

12.3 Arbitration

In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996, conducted in Kolkata, West Bengal.

The arbitration proceedings shall be conducted in English, and the arbitrator’s decision shall be final and binding on both parties.

12.4 Waiver of Class Actions

You agree to resolve disputes with us on an individual basis and waive your right to participate in class actions or collective proceedings.

We reserve the right to modify, update, or replace these Terms at any time at our sole discretion. We will notify you of material changes by:

16. Force Majeure

• Government actions or regulations

• Network or system failures

• Strikes or labor disputes

In such events, our obligations will be suspended for the duration of the force majeure event.

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent. We may assign or transfer these Terms, in whole or in part, to any third party without your consent, including in connection with a merger, acquisition, or sale of assets.
